Terms of Service

Last updated: 16 May 2026 · Effective for all orders placed on or after this date.

These Terms govern all services provided by keywebnet GmbH ("keywebnet", "we", "us") to customers ("Customer", "you"). By placing an order you agree to these Terms in full.

1. Services

keywebnet provides dedicated bare-metal Mac mini M4 servers hosted in European tier-3 data centres ("Service"). Each server is reserved exclusively for a single Customer. Services are described in the applicable Order Confirmation and Plan specification on keywebnet.de.

2. Order & Activation

An order is placed when you submit the checkout form and receive written confirmation from us. Service provisioning begins within the timeframe stated in the Order Confirmation (typically within 60 minutes during business hours). The contract is concluded under German law upon receipt of our Order Confirmation.

3. Fees & Billing

3.1 Pricing

Fees are stated in Euro (EUR) and exclusive of VAT unless otherwise noted. Current pricing is published at keywebnet.de/pricing. Prices may change with 30 days' advance notice for existing subscriptions.

3.2 Payment

Services are billed monthly in advance. Payment is due within 14 days of invoice date. Accepted methods: SEPA bank transfer, credit card, and such other methods as we make available. Late payments accrue interest at the statutory rate under § 288 BGB.

3.3 Taxes

Customers with a valid EU VAT ID will be invoiced under the reverse-charge mechanism. Customers without a VAT ID will be charged German VAT at the applicable rate.

4. Service Level Agreement (SLA)

We guarantee 99.9% monthly uptime measured at the network edge of your server. If we fall below this threshold in a calendar month, you are entitled to a credit equal to:

  • Uptime 99.0–99.9%: credit of 10% of that month's fee.
  • Uptime 95.0–99.0%: credit of 25% of that month's fee.
  • Uptime below 95.0%: credit of 50% of that month's fee.

Credits must be requested within 30 days of the incident. Credits are the sole remedy for downtime and do not exceed one month's fee. The SLA does not apply to downtime caused by scheduled maintenance (announced ≥ 24 hours in advance), force majeure, or Customer-caused issues.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Distribute spam, malware, or conduct phishing attacks.
  • Launch denial-of-service or network-flooding attacks.
  • Mine cryptocurrency using resources beyond your allocated hardware.
  • Host content that is illegal under German or EU law.
  • Resell or sublease the physical hardware without prior written consent.

We reserve the right to suspend Services immediately if a violation is detected, with notice where legally permissible.

6. Customer Responsibilities

You are solely responsible for all software, data, and configurations installed on your server. You must maintain secure credentials and promptly notify us of any suspected unauthorised access. Backups of your data are your responsibility unless a managed backup add-on has been purchased.

7. Hardware & Root Access

You receive full administrator (root) access to the macOS environment. Physical access to the server hardware remains with our data centre partner. Hardware replacement due to failure on our side is performed at no charge within the timeframes specified in your Order Confirmation.

8. Term & Termination

Subscriptions are monthly and renew automatically unless cancelled. Either party may terminate with 30 days' written notice before the next billing date. We may terminate immediately for material breach of the Acceptable Use policy, non-payment after a 14-day cure period, or insolvency. Upon termination, access is revoked and data is securely wiped within 7 days.

9. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim arising from or related to the Service is limited to the total fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profit or data, except in cases of wilful misconduct or gross negligence as defined under German law.

10. Confidentiality

Each party agrees to keep the other's confidential information (including pricing, technical details, and Customer data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

11. Governing Law & Disputes

These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes is Oberursel, Germany, provided you are a merchant (Kaufmann) under German law.

12. Changes to Terms

We may update these Terms with 30 days' notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the changes, you may terminate pursuant to Section 8.
